LITMUS CANDIDATE PLATFORM AGREEMENT

Effective date: October 30, 2026 Version: candidate_agreement_v7_2026

This agreement is between you and Litmus Ltd. ("Litmus," "we," or "us"). By checking "I agree to the Candidate Platform Agreement" and confirming acceptance after being shown this agreement, you agree to transact electronically and electronically sign this version in exchange for access to the Platform, assessment materials, and the opportunity to submit work for evaluation.

It applies to Assessments you begin after accepting it, including through guest interview links. It does not change the terms governing earlier Assessments or Submissions. Access does not guarantee an interview, offer, employment, compensation, or evaluation result, or waive any mandatory entitlement to payment.

1. WHAT THIS AGREEMENT COVERS

"Platform" means Litmus's websites, applications, tools, assessment environments, systems, and related services.

"Company" means the organization evaluating you through Litmus.

"Assessment" means an evaluation through the Platform, including an async take-home, live interview, work trial, or other technical or non-technical exercise.

"Submission" means work you create for and submit through the Platform as part of an Assessment, including code, submitted commit history, files, written responses, diagrams, and recorded walkthroughs.

"Background Materials" means materials you created or obtained before, or independently of, the Assessment without using its confidential information.

"Company Materials" means materials supplied by the Company or its personnel, including existing assessments, code, documents, data, and instructions.

"Evaluation Data" means Submissions, assessment activity, related outputs such as scores and annotations, and subsequent interview, hiring, or performance outcomes lawfully shared with Litmus. Assessment activity includes tool interactions, prompts and outputs, edits, execution, workspace and commit activity, timestamps, access logs, and device and browser information actually collected under the applicable disclosures. This definition does not authorize a Company to share information it is not entitled to share.

2. OWNERSHIP AND PERMITTED USE

Your Submission. Subject to the exclusions below, you hereby assign to Litmus, automatically upon submission, all transferable intellectual property rights you own in the original expression you create for the Assessment and embody in your Submission, worldwide for the duration of those rights, including future rights in that expression as they arise. The transfer does not depend on whether you are hired.

What you keep. You retain your Background Materials and general skills, knowledge, ideas, methods, algorithms, and know-how. This agreement does not transfer Company Materials, third-party or open-source materials, independently developed work, or rights you cannot legally transfer. Third-party licenses and mandatory legal rights continue to apply.

Embedded materials. To the extent you own or are authorized to license Background Materials incorporated into, or portions necessary to run, evaluate, or otherwise use, your Submission, you grant Litmus a non-exclusive, worldwide, perpetual, irrevocable to the extent legally permitted, royalty-free license to use, reproduce, modify, distribute, display, perform, process, retain, and sublicense those materials with the Submission or its adaptations, including in datasets and model-development processes permitted here. This does not permit separate exploitation of Background Materials as standalone assets. Litmus may sublicense them to the Company only for the hiring-related uses below. All uses remain subject to third-party licenses and mandatory legal rights.

Company use. You permit Litmus to license your Submission and related recordings to the Company for reviewing, reproducing, displaying, processing, retaining, and internally sharing them to evaluate your candidacy, check integrity, make hiring decisions, comply with law, resolve disputes, and keep related records. Access is limited to personnel and advisers who need it and are subject to confidentiality obligations. The Company receives no permission to use any part of your Submission in products or services, commercial development, model training, or other unrelated purposes unless you and Litmus separately agree in writing.

Confirming rights. You will reasonably assist with documents and actions needed to confirm, perfect, or enforce assigned rights, at Litmus's expense. If you do not sign a confirmation within 30 days after written notice, you authorize Litmus, only where legally effective, to sign solely to record or confirm rights already validly granted. This authority does not create new rights, waive claims, or authorize settlement.

Rights that cannot transfer. To the extent an economic right you own cannot be assigned, you grant Litmus, where lawful, an exclusive, worldwide, royalty-free license for the duration of that right to reproduce, adapt, distribute, display, perform, process, retain, and sublicense the relevant expression for uses permitted here. Moral and personal rights are addressed separately. No grant overrides mandatory author protections or transfers someone else's rights.

Moral rights. Where lawful, you waive attribution, integrity, disclosure, and similar moral rights in your Submission for permitted uses by Litmus, the Company, and their authorized users. Where waiver is unavailable, you consent, to the extent legally effective, to those uses, including editing, adaptation, annotation, format changes, and use without attribution. You agree not to assert such rights against permitted uses only to the extent legally allowed. No non-waivable right is waived.

3. EVALUATION DATA AND PRIVACY

Operating and improving Litmus. Subject to the restrictions below, applicable law, and our Privacy Policy, Litmus may use, reproduce, modify, analyze, process, retain, and internally disclose Evaluation Data to operate, maintain, support, secure, monitor, and debug the Platform; administer and evaluate Assessments; protect integrity; prevent fraud and abuse; resolve disputes; enforce this agreement; and comply with law. Litmus may also use it for internal research, analytics, quality assurance, benchmarking, and developing, training, testing, and improving Litmus products, assessment systems, and AI models. These permissions do not by themselves establish a lawful basis for processing personal information.

External research and commercial reuse. Litmus may reuse and license Submissions and other Evaluation Data for third-party research, benchmarking, products, and AI-model development, training, and testing, including as individual records rather than only aggregated statistics. Before external reuse, Litmus must assess and reduce identification risk so the information meets the applicable legal standard for anonymous or de-identified information in its intended use and disclosure context, including risks from singling out, linkage, and reasonably available additional information. It must not identify the Company or disclose Company Materials or Company confidential information.

Litmus will maintain externally shared information in that form and contractually require recipients and permitted onward recipients to do the same, use it only for licensed purposes, and not attempt re-identification. Litmus will not attempt or authorize re-identification of information prepared and maintained for external de-identified reuse.

Company Materials. Company Materials and Company confidential information are excluded from research, benchmarking, model development or training, and commercialization, whether internal or external, unless the Company separately authorizes the relevant use. This includes such material actually contained in Submissions, outputs, or derived data. Answering a Company-provided task does not by itself make the candidate's response Company Materials. Authorized assessment delivery and evaluation remain permitted. All uses remain subject to Litmus's agreement with the applicable Company and third-party rights and licenses.

Recordings and identity. This agreement does not transfer your name, image, likeness, voice, biometric identifiers, or privacy rights. Litmus may process recordings and transcripts for assessment purposes as disclosed. Identifiable audio or video, or biometric identifiers derived from them, will not be used for model training or unrelated product development without the applicable disclosures and any legally required separate permission. Converting a recording to a transcript does not by itself make it anonymous.

Service providers. Litmus may disclose Evaluation Data to service providers, contractors, subprocessors, and professional advisers acting on its behalf under appropriate confidentiality, security, and use restrictions. This is separate from independent third-party reuse under the external-use paragraph above.

Personal information. All processing, retention, deletion, and transfers of personal information remain subject to applicable law and our Privacy Policy. Litmus must establish the required lawful basis and other applicable conditions for internal and external secondary uses. Any required consent for optional secondary uses will be requested separately; refusal or withdrawal will not affect participation in an Assessment. This agreement does not waive privacy rights, including applicable access, correction, deletion, objection, restriction, portability, sale/sharing opt-out, sensitive-information, and consent-withdrawal rights.

Litmus may retain and use materials and Evaluation Data after an Assessment or account ends only as permitted here and by applicable law. Personal information is retained only as reasonably necessary for disclosed purposes and legal obligations.

4. COMPLETING ASSESSMENTS AND USING AI

You must personally complete your Assessment. Do not impersonate someone, have another person perform or direct your work, or share your account or workspace for that purpose. Authorized interviewers, approved accommodations, and assistance expressly permitted by the Assessment instructions are allowed.

You may use coding assistants, AI tools, and other software as permitted by the Assessment instructions. Operate them yourself, review and understand the resulting work, and be prepared to explain it.

Provide confidential Assessment information only to AI tools permitted by the instructions, solely to complete the Assessment and using the required privacy and sharing settings. Permission to use a tool does not permit public sharing, provider model training on confidential information, or disclosure outside authorized tool processing. Do not publish prompts or outputs or give unauthorized persons access.

You are responsible for what you submit, including AI-assisted content. To your knowledge, it must not contain material you are prohibited from submitting, assigning, or licensing. Identify third-party materials and comply with their licenses where required. This agreement does not create ownership rights in AI-generated material where none exist or authorize uses prohibited by third-party rights.

Litmus records and reviews activity as described in the applicable assessment disclosures, including supported tool interactions, prompts and outputs, edits, execution, workspace activity, and integrity signals. Those disclosures explain actual capture scope and required permissions. Accurately disclose assistance or tool use when instructed.

5. CONFIDENTIALITY AND NON-PUBLICATION

Use confidential Assessment information only to complete the Assessment. It includes non-public tasks, prompts, instructions, tests, evaluation criteria, Company Materials, credentials, systems, environments, Platform workflows and integrity methods, and your Submission. Your obligations in this section do not restrict Litmus's or the Company's uses expressly permitted by this agreement, subject to its privacy, Company-material, and third-party-rights restrictions.

Do not publish or disclose confidential Assessment information outside authorized Assessment use, including through public repositories, portfolios, social media, forums, messaging channels, or AI tools, except as permitted above or authorized in writing by Litmus. Company authorization permits disclosure only of information it is entitled to release and does not override Litmus's rights or confidentiality restrictions.

You may discuss your general experience, skills, job search, and the fact that you completed an Assessment without revealing confidential details. The restrictions do not cover information you can show was lawfully known to you, independently developed without confidential information, lawfully received without restriction, or made public without a breach.

You may make legally required disclosures, with prompt advance notice to Litmus where lawful and practicable. No notice is required for legally protected reports to regulators, government agencies, or attorneys. Nothing restricts whistleblowing or other non-waivable rights, including immunity under 18 U.S.C. § 1833(b) for qualifying confidential reports of suspected legal violations or sealed court filings.

Trade secrets remain protected while legally qualifying as trade secrets. Non-public assessment tasks, prompts, instructions, tests, evaluation criteria, and integrity methods remain protected while used or reasonably expected to be used for assessment or integrity purposes. Other confidential information remains protected for five years after the Assessment, unless it lawfully becomes public sooner.

6. GENERAL

Eligibility. You must be at least 18 and legally able to enter this agreement.

Instructions. Assessment instructions may set operational rules, including permitted tools, timing, collaboration, and accommodations, and grant operational permissions expressly contemplated here. They cannot otherwise expand ownership or data-use rights, authorize disclosure of information the authorizing party cannot release, or reduce privacy or confidentiality protections without express written agreement with Litmus and any other required rights holder.

Updates. Material changes require fresh affirmative acceptance before they apply to future Assessments. Earlier Assessments and Submissions remain governed by the version applicable to them.

Continuing effect. Ownership, licenses, permitted-use restrictions, confidentiality, and provisions that need to continue survive account closure or termination, subject to applicable law and privacy rights.

Governing law. Delaware law governs, without displacing mandatory protections applicable where you live.

Complete agreement. This agreement and the applicable Assessment instructions govern your candidate use of the Platform. The Privacy Policy and assessment disclosures describe related processing and capture practices and do not expand intellectual property grants. If a provision is unenforceable, the remainder continues to apply to the extent lawful.
